Not because the business idea was bad. Not because the market was tough. They fail because of people.<\/p>\n<p>Here is why:<\/p>\n<h2>1. Partnerships are built on friendship, not structure.<\/h2>\n<p>Zimbabweans love doing business with people they know. Your cousin. Your church mate. Your former classmate. Your neighbour. The thinking is: &#8220;I know this person. I can trust them. We do not need formalities.&#8221;<\/p>\n<p>But friendship and business are different relationships with different rules. Your friend who is loyal at a braai may become a different person when money is involved. The person who would never steal from your wallet will somehow justify taking from a business account because &#8220;I also contributed&#8221; or &#8220;I deserved more.&#8221;<\/p>\n<p>Without formal structures, there is nothing to hold anyone accountable. And when accountability disappears, so does money.<\/p>\n<h2>2. Roles and expectations are never clearly defined.<\/h2>\n<p>&#8220;We will both work on the business.&#8221; What does that mean? Who opens the shop? Who handles the banking? Who deals with suppliers? Who makes decisions about hiring? Who approves expenses?<\/p>\n<p>When roles are vague, conflict is guaranteed. One partner feels they are doing more work. The other feels they are contributing more value. Resentment builds. Arguments start. The partnership collapses.<\/p>\n<h2>3. Money conversations are avoided.<\/h2>\n<p>How much does each partner take as a salary? How are profits divided? What happens if the business needs more capital? And fighting about exits often means destroying the business in the process.<\/p>\n<h2>The Red Flags You Must Not Ignore<\/h2>\n<p>Before you enter any business partnership, watch for these warning signs. If you see them, walk away \u2014 no matter how good the opportunity seems.<\/p>\n<h2>Red Flag 1: They want your money but not your involvement.<\/h2>\n<p>&#8220;Just invest the capital. I will handle everything. You do not need to worry about the day-to-day.&#8221;<\/p>\n<p>This is how you lose your money. A partner who does not want you involved does not want you seeing what they are doing. They want access to your capital with no oversight. Run.<\/p>\n<h2>Red Flag 2: They resist putting things in writing.<\/h2>\n<p>&#8220;We do not need contracts. We trust each other. Are you saying you do not trust me?&#8221;<\/p>\n<p>This manipulation is designed to make you feel guilty for protecting yourself. A trustworthy partner welcomes documentation because it protects both parties. Someone who fights against written agreements is planning to do things they do not want documented.<\/p>\n<h2>Red Flag 3: They have a history of broken relationships.<\/h2>\n<p>Ask about their previous partnerships. If every business relationship they have had ended badly, if every former partner is &#8220;a cheat&#8221; or &#8220;was dishonest,&#8221; the common factor is them. You are not special. You will become the next person they blame.<\/p>\n<h2>Red Flag 4: They are secretive about money.<\/h2>\n<p>If they get defensive when you ask financial questions, if they do not want to show you receipts, if they insist on handling all the money themselves \u2014 these are serious warnings. Transparency is the foundation of partnership. Secrecy is the foundation of theft.<\/p>\n<h2>Red Flag 5: They live beyond their visible means.<\/h2>\n<p>If your partner is driving a car and living a lifestyle that does not match their known income, where is the money coming from? Either they have hidden resources they are not telling you about, or they are funding their lifestyle from somewhere \u2014 possibly your joint business.<\/p>\n<h2>Red Flag 6: They pressure you to move fast.<\/h2>\n<p>&#8220;This opportunity will not wait. We need to start now. We can sort out the paperwork later.&#8221;<\/p>\n<p>Legitimate opportunities can survive due diligence. Only scams require urgency. A partner who pressures you to skip proper processes is either desperate or dishonest. Neither makes a good business partner.<\/p>\n<h2>Red Flag 7: They contribute nothing but &#8220;ideas&#8221; or &#8220;connections.&#8221;<\/h2>\n<p>&#8220;I will bring the concept and the contacts. You bring the money.&#8221;<\/p>\n<p>Ideas are not capital. Connections do not pay suppliers. If someone wants half your business but is contributing nothing tangible, you are not getting a partner \u2014 you are getting a parasite. They should have something at risk too.<\/p>\n<h2>How to Protect Yourself Legally<\/h2>\n<p>If you decide to enter a partnership despite the risks, protect yourself with these measures:<\/p>\n<h2>1. Register a formal company.<\/h2>\n<p>Do not operate as an informal partnership. Register a Private Limited Company with the Registrar of Companies. This creates a legal entity separate from both of you, with clear ownership structures, shareholding percentages, and legal protections.<\/p>\n<p>Sole proprietorships and informal arrangements offer no protection. When things go wrong \u2014 and they often do \u2014 you need legal standing.<\/p>\n<h2>2. Create a comprehensive partnership agreement.<\/h2>\n<p>This document should cover everything:<\/p>\n<p>&#8211; What each partner is contributing (money, equipment, skills, time)<br \/>\n&#8211; What percentage each partner owns<br \/>\n&#8211; How decisions are made (unanimous agreement or majority?)<br \/>\n&#8211; What salaries or drawings each partner takes<br \/>\n&#8211; How profits are divided<br \/>\n&#8211; What happens if more capital is needed<br \/>\n&#8211; How disputes are resolved<br \/>\n&#8211; What happens if one partner wants to exit<br \/>\n&#8211; What happens if one partner dies<br \/>\n&#8211; What happens if one partner breaches the agreement<\/p>\n<p>Have a lawyer draft this. Yes, it costs money. It costs far less than losing your entire investment.<\/p>\n<h2>3. Ensure assets are in the company name.<\/h2>\n<p>Vehicles, equipment, property \u2014 everything bought with business money must be registered in the company name, not in any individual partner&#8217;s name. This is non-negotiable.<\/p>\n<p>If your partner insists on registering assets in their personal name &#8220;for convenience&#8221; or &#8220;to make things easier,&#8221; refuse. This is exactly how Tonderai lost everything. When assets are in your partner&#8217;s name, they are your partner&#8217;s assets. You have no claim.<\/p>\n<h2>4. Maintain separate and transparent accounts.<\/h2>\n<p>Open a business bank account in the company name. Both partners should have visibility of all transactions. Use accounting software or an app like ZimLedger to track every income and expense. No cash transactions that bypass the books. No separate accounts &#8220;for small expenses.&#8221;<\/p>\n<p>When money moves without documentation, money disappears.<\/p>\n<h2>5. Define signing powers carefully.<\/h2>\n<p>Who can authorise payments? Who can make withdrawals? Who can approve transfers?<\/p>\n<p>For significant amounts, require both partners to approve. This prevents one partner from emptying the account while the other is unaware. Yes, it is slower. That slowness is your protection.<\/p>\n<h2>6. Schedule regular financial reviews.<\/h2>\n<p>Monthly, sit down together and review the accounts. Look at every transaction. Question anything that seems unusual. Do not let months pass without examining the finances.<\/p>\n<p>Partners who steal do it gradually, counting on the other partner not paying attention. Pay attention.<\/p>\n<h2>7. How long do they have to pay?<\/p>\n<p>These conversations are uncomfortable when you are excited about starting a business. They are essential when the business is falling apart.<\/p>\n<h2>When Partnership Makes Sense<\/h2>\n<p>I am not saying never partner with anyone. I am saying partner wisely, with protection, and only when it genuinely makes sense.<\/p>\n<p>Partnership makes sense when:<\/p>\n<p>&#8211; Each partner brings something essential that the other lacks (capital, skills, networks, time)<br \/>\n&#8211; Both partners have something significant at risk<br \/>\n&#8211; Both partners are willing to document everything legally<br \/>\n&#8211; There is clear division of responsibilities<br \/>\n&#8211; Both partners have compatible visions for the business<br \/>\n&#8211; Both partners can handle conflict and difficult conversations<\/p>\n<p>If these conditions are not met, you are better off starting alone, hiring employees, or finding investors rather than partners.<\/p>\n<h2>The Alternative: Start Alone<\/h2>\n<p>Many Zimbabweans enter partnerships not because they need a partner, but because they want company. Starting a business is scary. Having someone to share the fear makes it feel easier.<\/p>\n<p>But shared fear is not a good reason for partnership. If you can start alone, start alone. Hire people when you need skills. Bring in investors when you need capital. Maintain full control of what you build.<\/p>\n<p>The businesses that survive long-term in Zimbabwe are often those with a single decision-maker who does not have to negotiate every choice with a partner who may have different priorities.<\/p>\n<h2>The Betrayal You Can Prevent<\/h2>\n<p>Tonderai trusted Blessing completely. That trust cost him $15,000 and years of friendship.<\/p>\n<p>Somewhere in Zimbabwe right now, another partnership is forming. Two friends are shaking hands. Two relatives are agreeing to work together. Two acquaintances are combining resources. Most of them have no contracts. Most of them have not discussed what happens when things go wrong. Most of them believe their situation is different.<\/p>\n<h2>It is not different.<\/h2>\n<p>The betrayal that destroyed Tonderai&#8217;s business can destroy yours too. The only difference is whether you protect yourself in advance or learn the lesson the expensive way.<\/p>\n<p>Get the agreements in writing. Register assets properly. Maintain financial transparency. Watch for the red flags.
